1. Purpose
Calici Corporation (hereinafter referred to as the ‘Company’) has established these Terms and Conditions (hereinafter the ‘Terms’) to make it more convenient for users to utilize various services provided throughout the web platform (hereinafter ‘Pharmaco-Net’). These terms outline the rights, obligations, responsibilities, and other necessary matters for users to use the services, so please carefully review them.
2. Definitions
The definitions of the terms used in these terms and conditions are as follows:
Pharmaco-Net refers to the platform operated by the Company, which provides a space for users to access various goods or services (hereinafter referred to as ‘Services’) through web applications (hereinafter ‘Web’) and the like. ServicesRefers to the services provided or to be provided by the Company through Pharmaco-Net, enabling users to easily and rapidly engage in drug development, including automated simulation preparation for candidate substance discovery such as protein structure preparation, ligand library preparation, identification of active and inhibitory sites, real-time monitoring of simulation results, and more. UserRefers to individuals who utilize the services provided by the Company, including both members and non-members.
Member refers to an individual who has registered as a member on Pharmaco-Net and possesses the qualification to use the services within Pharmaco-Net. Non-member refers to individuals who use the limited services provided by Pharmaco-Net without membership registration.
Content refers to all information posted or registered by the Company or users on the services, including but not limited to text, photos, videos, various files, links, member introductions, and any form of information used or posted within Pharmaco-Net (regardless of format, such as symbols, characters, images, drawings, etc.).
Member Information refers to the personal information requested and provided by the member to Pharmaco-Net according to the membership application form (hereinafter the ‘Application Form’) for identification and service utilization purposes.
3. Explanation and Amendment of Terms and Conditions
- Pharmaco-Net shall post the content of these Terms, the company’s name, representative’s name, business location address (including an address to handle consumer complaints), phone number, email address, business registration number, and telecommunication sales business registration number on the initial service screen (front) of Pharmaco-Net, in a manner easily accessible to users. However, the content of these Terms (including the content of amendments) may be posted for users to view through a linked screen
- Pharmaco-Net may amend these Terms within the scope not violating relevant laws. When amending these Terms, Pharmaco-Net shall provide notice on the initial screen of Pharmaco-Net along with the current Terms, clearly indicating the reason for the amendment and the effective date of application from 7 days prior to the effective date until the day before the effective date. However, in the event of changing terms that are disadvantageous to users, Pharmaco-Net will provide notice at least 30 days in advance, clearly displaying the contents before and after the amendment for members’ easy understanding.
- If Pharmaco-Net notifies and announces the amended Terms and a member fails to explicitly express disagreement within a certain period, it is deemed that the member has agreed, even if the specific notice and announcement of the agreement concept are separately provided. Additionally, if a member does not explicitly agree to the amended Terms, Pharmaco-Net cannot apply the amended Terms, and in such cases, the member can choose to withdraw from membership. However, in special circumstances where the previous Terms cannot be applied, Pharmaco-Net may revoke the membership.
- When Pharmaco-Net amends these Terms, the amended Terms shall apply only to contracts concluded after the effective date of the amendment, and the previous Terms shall apply to contracts concluded before the amendment. However, if a member expresses a desire to apply the amended Terms to contracts concluded before the effective date of the amendment, and provides consent to Pharmaco-Net within the notice period of the amended Terms according to Clause 3, the amended Terms shall apply.
4. Supplementary Rules Beyond the Terms[
- Matters not stipulated in these Terms and the interpretation of these Terms shall be governed by relevant laws and customs, including the Electronic Commerce Consumer Protection Act, the Act on Regulation of Standardized Contracts, and guidelines for consumer protection in e-commerce as established by the Fair Trade Commission.
- Pharmaco-Net may establish specific terms and conditions (hereinafter referred to as ‘Individual Terms’) applicable to certain services and pre-notify them through Pharmaco-Net when necessary.
- In the event of changes to the individual terms in accordance with Clause 2, Pharmaco-Net shall provide notice as stipulated in Article 3, Clause 2 of these Terms.
5. Registration
- Users who wish to become members may apply for membership by completing their member information and expressing their consent to these Terms and the collection and use of personal information.
- Pharmaco-Net shall register users who apply for membership as stipulated in Clause 1, unless they fall under any of the following subparagraphs:
- If the applicant is under 14 years of age.If there is false, omitted, or incorrect information in the member information.If the applicant has previously lost membership status according to Article 11 of these Terms (except for cases where at least 6 months have passed since the loss of membership status under Article 11, and the applicant has obtained re-admission approval from Pharmaco-Net).If it is significantly difficult to register as a member due to technical reasons.If the application violates these Terms, is deemed illegal, unfair, or otherwise improper, or if Pharmaco-Net deems it necessary based on reasonable judgment.
- The processing of membership applications shall be based on the order of application, and the completion of membership registration shall occur when Pharmaco-Net’s acceptance of the application reaches the applicant.
- Members are obliged to promptly notify Pharmaco-Net of any changes to the information provided during membership registration through the method of modifying member information, and to cooperate to ensure the smooth provision of services by Pharmaco-Net. Even if members fail to fulfill this obligation and as a result, incomplete or non-provision of services occurs, Pharmaco-Net shall not bear responsibility unless there is separate attributable cause.
- Pharmaco-Net may differentiate and classify members by type and grade, and may provide different services and benefits based on the type of member, specifying and dividing the types of services and benefits available within Pharmaco-Net.
6. Protection of Personal Information
- The Company values the personal information of Pharmaco-Net users. In accordance with relevant laws and within the scope permitted and agreed upon by users, the Company processes users’ personal information only to the extent necessary for the smooth provision of services. The Company makes efforts to securely handle the personal information of Pharmaco-Net users, and detailed information on these efforts and other related matters can be found in the Privacy Policy.
7. Management of ID and Password
- A member’s ID and password can only be used by the member themselves. A member must not permit anyone else to use their ID and password, and must manage them to prevent unauthorized use by others.
- In case of leakage of an ID or password due to the member’s negligence, transfer or lending of the member’s ID or password in violation of these Terms, the member shall bear full responsibility for any losses or damages arising from such actions, unless Pharmaco-Net is at fault.
- Pharmaco-Net reserves the right to restrict the use of an ID without prior notice if there is a concern about the leakage of the member’s ID, if the ID contains expressions that are against social norms or decency, or if there is a risk of being mistaken for a representative of the company or Pharmaco-Net’s operator.
- If a member’s ID and password are stolen or used without authorization, the member must immediately notify Pharmaco-Net. Pharmaco-Net will make best efforts to protect the member’s information upon receiving the notification.
8. Notification and Announcement
- Users can provide opinions related to the services through the customer center at any time.
- Notifications to Pharmaco-Net members shall be sent electronically through methods such as the email address provided in the member information. Such electronic notifications shall be effective upon reaching the member.
- In cases where Pharmaco-Net needs to notify an unspecified number of members, such notification may be replaced by posting on Pharmaco-Net for more than one week instead of individual notifications as specified in Clause 2. However, for matters significantly affecting specific transactions of individual members, individual notifications to those members shall be the principle.
9. Delete Account
- If a member no longer wishes to use Pharmaco-Net, they can request account deletion through Pharmaco-Net at any time, and the Company will promptly process the account deletion. However, any disadvantages arising from the account deletion shall be borne by the member themselves, and after the account deletion process is completed, various benefits provided by Pharmaco-Net that were offered to the member may be lost or revoked. Therefore, please carefully consider when making an account deletion request.
- If a former member wishes to use Pharmaco-Net again, the Company reserves the right to reject the request, and the re-use of services will be allowed according to predetermined criteria.
- In the following cases, Pharmaco-Net may unavoidably restrict, suspend, or limit the membership or re-use of services:
- In case of the member’s death.In case the member fails to fulfill financial obligations related to service usage.In case of reasons for refusal as per Clause 2 of Article 5.n case of reasons for ID usage restriction as per Clause 3 of Article 7.In case actions that damage the reputation of Pharmaco-Net or third parties, or hinder their business are confirmed.In case of violation of these Terms or individual terms.In case Pharmaco-Net deems it necessary to refuse service provision due to the member’s illegal activities or other reasons.
- In case Pharmaco-Net suspends or restricts membership status, the member’s registration will be canceled. In such cases, Pharmaco-Net will notify the member and provide a minimum of 30 days for explanation before canceling the registration.
- Even if Pharmaco-Net suspends or restricts membership status, these Terms will continue to apply to services used prior to the loss of membership status.
10. Provision of Various Services
- [1] harmaco-Net provides the following services for users:
- Automated service for preparing protein structure, preparing ligand libraries, and identifying active and inhibitory sites for candidate substance discovery, such as post-molecule excavation simulations.Real-time monitoring and notification service for simulation results.Other services provided for users.
- In case Pharmaco-Net needs to change the content of services it has agreed to provide, due to reasons such as service depletion or changes in technical specifications, it will promptly notify users of the reasons using the methods specified in Article 8 of these Terms.
11. Suspension of Service
- Pharmaco-Net makes its best efforts to provide services to users. However, in the following cases, Pharmaco-Net may unavoidably restrict or suspend all or part of the services:
- In the event of maintenance, replacement, or failure of information communication equipment such as PCs, or interruption of communication.When it is impossible for Pharmaco-Net to maintain the service due to its overall circumstances.In cases of natural disasters, national emergencies, or other force majeure events.
- If the provision of services is restricted or suspended due to the reasons mentioned in Clause 1, Pharmaco-Net compensates for damages suffered by users or third parties. However, this does not apply if Pharmaco-Net can prove that it had no intention or negligence.
12. Provision of Information and Posting of Advertisements
- In operating the services, Pharmaco-Net may provide various information to users by posting it in designated locations within Pharmaco-Net or through the methods specified in Article 8 of these Terms. However, commercial advertisements are provided only to users who have separately agreed to receive and the method of receiving such advertisements. Users may refuse to receive the information provided by Pharmaco-Net, except for information related to obligations under laws, guidance on procedural matters, customer inquiries, and other transaction-related information.
- Pharmaco-Net merely acts as a mediator for delivering and facilitating advertisements posted by partners. If users use or participate in promotions related to such advertisements, Pharmaco-Net is not responsible for such activities unless there is no attributable fault. Please take note of this.
13. Payment
- The acceptance of an offer and the agreement between the member and Pharmaco-Net regarding the sale conditions of the services presented by Pharmaco-Net occur when the member expresses their intention to subscribe, and Pharmaco-Net approves it.
- Pharmaco-Net provides methods for members to make payment using credit/debit cards or other available methods.
- The responsibility and disadvantages arising from the information entered by the member in connection with the payment and any related matters shall be solely borne by the member unless attributable to Pharmaco-Net’s fault. Please take note of this.
- Pharmaco-Net takes measures to enable members to confirm their service payment details through the profile page and provides guidance on cancellation methods and procedures.
- Pharmaco-Net can verify whether a member has valid authorization for the payment method used for the transaction. If the verification is not completed, Pharmaco-Net can suspend the transaction or cancel it if verification is not possible.
- If a minor member purchases services using the services and their legal guardian does not consent to the transaction, the minor member or the legal guardian can cancel the transaction.
- The actual payment amount by the member is the amount after applying the basic usage fee determined by Pharmaco-Net (actual purchase amount). The purchase documentation issued to the user (cash receipt, tax invoice, credit card sales slip, etc.) will be based on the actual purchase amount.
14. Right of Withdrawal
- A user cannot exercise the right of withdrawal under paragraph 1 in the following cases against the intent of the telecommunications sales operator. However, if the telecommunications sales operator fails to take the measures under paragraph 7, the right of withdrawal can still be exercised in cases falling under subparagraphs 2 to 5.
- In the event of loss or damage to goods, etc. for which the user is responsible.In the event of a significant decrease in the value of goods, etc. due to the user’s use or partial consumption.In the event of a significant decrease in the value of goods, etc. to the extent that resale becomes difficult over time.
- The refund amount will be reimbursed to the same payment method used at the time of purchase.
- In cases where various illegal activities or fraud have a serious adverse impact, the company may not refund the goods. However, if the user can prove that they have not engaged in significant illegal activities or actions seriously affecting service operations, this provision does not apply.
15. Responsibility as a Telecommunications Sales Operator
- In cases where the company directly sells services to users, the company assumes responsibility as a party to the telecommunications sale, and in such cases, the company bears the responsibility to the user in accordance with these terms and conditions.
16. Operation of Contents
- If a member registers content that falls under any of the following categories, Pharmaco-Net may deem it inappropriate and delete or suspend the posting of such content:
- Content that criticizes or defames Pharmaco-Net, users, or third parties, or damages their reputation.Content that does not align with the intended purpose of Pharmaco-Net or is unrelated to the nature of the relevant service.Content that contains personal information of specific individuals.Content that infringes upon copyrights, trademarks, or other rights of third parties.Content related to prohibited commercial activities as determined by the company.Abnormal content or programs that use repetitive inclusion of specific words or phrases to mechanically generate repetitive text.Content containing malicious codes that can cause harm to the system performance, personal information leaks, or other damages to other users, partners, or third parties.Obscene or hate-inducing content.Other content deemed to be in violation of relevant laws, individual service terms of Pharmaco-Net, and other regulations.
17. Copyright of Contents
- The copyright and intellectual property rights, including those related to knowledge, of the content posted by members within Pharmaco-Net are owned by the respective members. The copyright and intellectual property rights, including those related to knowledge, of the content created by Pharmaco-Net are owned by Pharmaco-Net.
- Pharmaco-Net is responsible for ensuring that the intellectual property rights of members and third parties are respected and protected. In particular, if a member’s intellectual property rights are infringed upon by others, Pharmaco-Net will promptly take necessary measures to protect the member’s rights and notify them accordingly to ensure the protection of the content posted by the member.
- A member’s posting of content on Pharmaco-Net is deemed to grant permission for the following:
- Viewing the same content by other members.Using the content in search results.Members grant permission for Pharmaco-Net to edit (including but not limited to modifying, copying, distributing, etc.) and use their posted content within the necessary scope for the following purposes:Using content within the service or for promoting the service, including using the content’s details for digital marketing channels such as the internet, mobile, SNS, and communication companies, as well as reporting and broadcasting content’s details.
- Notwithstanding the above, members may request deletion, private settings, or suspension of use for their posted content through Pharmaco-Net’s customer center or through the channels guided by Pharmaco-Net. Pharmaco-Net may notify members of the usage details of the content in accordance with the method specified in Article 8 of these Terms and Conditions.
- Members warrant that their posted content does not violate Article 24 of these Terms and Conditions. If the content written by a member violates Article 24 of these Terms and Conditions or related laws, the member, unless Pharmaco-Net is at fault, is responsible for all liabilities resulting from such violations.
- When a member is withdrawn in accordance with Article 9 of these Terms and Conditions, the content posted by the member within Pharmaco-Net will be deleted. However, content that was allowed before the member’s withdrawal may be exempted from deletion if it is deemed necessary for the operation of the service or required by law.
- Users shall not use for commercial purposes or allow third parties to use, without the prior consent of Pharmaco-Net, any information obtained through the use of the service that is subject to Pharmaco-Net’s intellectual property rights.
18. Dispute Resolution
- Pharmaco-Net will make every effort to prevent disputes between users and CRO companies. Nevertheless, if a dispute arises regarding the use of the service, it is important to note that the users and partners, who are the parties to the transaction, are responsible for resolving it. However, Pharmaco-Net will make diligent efforts to assist in the prompt resolution of disputes between the parties to the transaction.
19. Governing Law and Jurisdiction
- These Terms and Conditions and the service shall be governed by and interpreted in accordance with the laws of the Republic of Korea. Any disputes arising from these Terms and Conditions or the service shall be subject to the jurisdiction of the courts under the Civil Procedure Act of Korea.
